Terms of Service

Welcome to Dexra. These Terms of Service ("Terms") constitute a binding legal agreement between you ("Subscriber", "you") and Dexra LLC ("Dexra", "we", "us"), a Wyoming Limited Liability Company.

Note: By accessing or using our Service, creating a Workspace, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind such entity.

1. Acceptance of Terms

Dexra provides an AI-powered communication platform (the "Service") accessible via dexra.net and associated mobile or desktop applications. Your use of the Service is conditioned upon your acceptance of these Terms, as well as our Privacy Policy and Data Processing Addendum (where applicable).

We may update these Terms from time to time. If a revision is material, we will notify you via email or a prominent notice within the Service. Continued use of the Service after such changes constitutes acceptance of the new Terms.

2. Definitions

"Service"The Dexra platform, API, and any associated software or services provided by us.
"Subscriber Data"Electronic data, text, messages, communications, or other materials submitted to and stored within the Service by You or your End-Users.
"Order Form"An ordering document or online subscription page specifying the Service details, pricing, and Subscription Term.
"Seat"A single license for a specific human user (Agent or Admin) to access the Service.

3. Account & Registration

  • Eligibility: You must be at least 18 years old to use the Service.
  • Security: You are responsible for maintaining the confidentiality of your login credentials. Dexra is not liable for any loss or damage arising from your failure to protect your account.
  • Accuracy: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. Acceptable Use & Fair Usage

You specifically agree NOT to:

Use the Service to send unsolicited mass mailings (SPAM) or SMS in violation of CAN-SPAM, GDPR, or TCPA regulations.

Attempt to reverse engineer, decompile, hack, disable, interfere with, disassemble, copy, or disrupt the integrity or the performance of the Service.

API Rate Limits & Fair Use

"Unlimited" plans are subject to our Fair Use Policy to ensure the stability of the platform for all users. Dexra reserves the right to throttle or temporarily suspend accounts that generate excessive API load (exceeding 3x the average usage of 99th percentile users) or usage that suggests automated scraping/spamming behaviors unrelated to standard business communications.

5. Subscription & Billing

Fees: You agree to pay all fees specified in your Order Form. Fees are based on Seats purchased and message volume, not actual usage. Payment obligations are non-cancelable and fees paid are non-refundable.

Auto-Renewal: Unless you cancel your subscription before the end of the applicable subscription period, your subscription will automatically renew for an additional period on the same terms.

Taxes: Fees do not include any taxes, levies, duties, or similar governmental assessments. You are responsible for paying all Taxes associated with your purchases.

6. Intellectual Property

Our IP

Dexra owns all right, title, and interest in and to the Service, including all related intellectual property rights. The Dexra name and logos are trademarks of Dexra LLC.

Your Data

You retain all ownership rights to your Subscriber Data. You grant Dexra a worldwide, limited-term license to host, copy, transmit, and display your Subscriber Data solely as necessary to provide the Service.

7. Publicity Rights

You grant Dexra the right to use your Company name and logo as a reference for marketing or promotional purposes on our website and in other public or private communications with our existing or potential customers.

8. Third-Party Services

The Service integrates with third-party platforms (e.g., WhatsApp, Meta, Twilio, Slack) ("Third-Party Services").

  • Platform Risk: You acknowledge that Dexra does not control these Third-Party Services. If a Third-Party Service changes its API, restricts access, or bans your account, Dexra shall not be liable for any resulting inability to use the Service.
  • Terms of Third Parties: Your use of these features is subject to the Terms of Service of the respective third parties. (e.g., You must comply with the WhatsApp Business Policy).

9. AI & Beta Services

Generative AI: The Service utilizes Large Language Models (LLMs) to generate responses. You acknowledge that AI outputs ("Generative Content") may be inaccurate, offensive, or biased. You are responsible for verifying the accuracy of any Generative Content before using it.

Ownership of Output: As between the parties, you own all Inputs and Outputs (Generative Content) to the extent permitted by applicable law.

No Training on Your Data: Dexra does not use your non-public Subscriber Data to train our foundational models or share it with third-party model providers (like OpenAI) for their training purposes.

10. Data Privacy & Security

Dexra maintains appropriate administrative, physical, and technical safeguards for protection of the security, confidentiality, and integrity of Subscriber Data. Detailed information about our security practices can be found in our Security & Trust Center.

To the extent Personal Data from the European Economic Area (EEA), the UK, or Switzerland is processed by Dexra, the terms of the Data Processing Agreement (DPA) shall apply and are incorporated herein by reference.

11. Cancellation & Termination

You may cancel your subscription at any time via the billing portal in your Workspace Settings. Cancellation will be effective at the end of the current billing cycle.

Dexra may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Warranties & Disclaimers

Disclaimer

"THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DEXRA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE."

13. Limitation of Liability

IN NO EVENT SHALL DEXRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

IN NO EVENT SHALL DEXRA'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU TO DEXRA FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

14. Dispute Resolution

Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be determined by binding arbitration in Wyoming, rather than in court.

Class Action Waiver: YOU AND DEXRA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. General Provisions

  • Governing Law: These Terms shall be governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.
  • Entire Agreement: These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
  • Force Majeure: Dexra shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Dexra's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.
